1. Services

PixAI provides AI-assisted creative services that may include AI-generated images, videos, social media content, digital characters, avatars, spokesperson content, animation, digital clones, voice-generated content, creative campaigns, and related services.

The exact scope and deliverables for each project will be defined in the selected package, proposal, invoice, or written project agreement.

2. Payment

A 50% non-refundable deposit is required before work begins unless otherwise agreed in writing.

The remaining 50% balance is due upon project completion and before final high-resolution, unwatermarked deliverables are released.

Custom projects may have different payment schedules when specified in the project agreement.

3. Turnaround Times

The Starter Content Package can typically be completed within 48 hours after PixAI receives all required materials, information, and the initial payment.

Larger packages and custom projects may require additional production time depending on complexity and scope.

An estimated delivery timeline will be communicated before the project begins.

Turnaround estimates may be affected by delayed client responses, missing materials, revision requests, changes in project scope, or circumstances outside PixAI’s reasonable control.

4. Revisions

Each project includes up to two (2) rounds of revisions, unless otherwise specified in writing.

Revisions are intended to refine the approved creative direction. Requests that substantially change the original concept, creative direction, deliverables, or project scope are not considered revisions and may require an additional fee.

5. Client Responsibilities

Clients are responsible for providing accurate information and any materials reasonably required to complete the project in a timely manner.

The client represents that they own or have permission to use any logos, photographs, videos, audio recordings, trademarks, product images, music, written content, likenesses, or other materials supplied to PixAI.

The client agrees not to request content that infringes another person’s intellectual property, privacy, publicity, or other legal rights.

6. AI-Generated Content

Artificial intelligence is an important part of PixAI’s creative process. AI-generated content may contain natural variations or differences from reference materials.

PixAI uses creative direction and refinement to achieve professional results, but exact replication of a person, product, location, object, voice, or reference image cannot always be guaranteed.

Clients understand that AI technologies continue to evolve and that results may vary between projects and platforms.

7. Digital Clones, Avatars & Voice Cloning

Clients requesting digital cloning, avatar creation, or voice cloning confirm that they are authorized to use the likeness, image, voice, and identity being provided.

PixAI will not knowingly create unauthorized impersonations or clones of third parties.

The client is responsible for ensuring that their subsequent use of digital clones, avatars, or synthetic voices complies with applicable laws, platform requirements, disclosure requirements, and advertising rules.

8. Intellectual Property & Usage Rights

Upon receipt of full payment, the client receives the usage rights specified in their package, proposal, or project agreement for the final approved deliverables.

PixAI retains ownership of its underlying workflows, methods, processes, templates, concepts not selected by the client, and other proprietary production materials.

Because some deliverables are created using artificial intelligence and third-party platforms, the availability and scope of intellectual-property protection for AI-generated elements may vary by jurisdiction and cannot be guaranteed by PixAI.

9. Portfolio Rights

Unless otherwise agreed in writing, PixAI may request permission to display completed work in its portfolio, website, social media, case studies, or promotional materials.

Where a separate project agreement grants PixAI portfolio rights, those agreed terms will apply.

Confidential projects will not be publicly displayed when confidentiality has been agreed to in writing.

10. Cancellations & Refunds

Because PixAI reserves production time and begins creative work after booking, the initial 50% deposit is non-refundable once work has begun.

If a client cancels after work has begun, completed work and expenses may be charged against amounts already paid.

Payments for completed and delivered work are non-refundable.

Any exception will be determined by PixAI based on the circumstances of the project.

11. Client Approval

Clients are responsible for reviewing final content before publishing or distributing it.

Approval of final deliverables constitutes acceptance of the work.

The client is responsible for verifying product claims, prices, spelling, factual information, advertising claims, required disclosures, trademarks, and other business-specific information before publication.

12. Third-Party Platforms

PixAI may use third-party AI platforms, software, hosting providers, or other services during production.

PixAI is not responsible for changes, outages, restrictions, policies, or availability of third-party platforms.

13. Limitation of Liability

To the fullest extent permitted by applicable law, PixAI AI Solutions will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from the use of our services or deliverables.

PixAI’s total liability relating to a particular project will not exceed the amount the client paid PixAI for that project.

14. No Guarantee of Business Results

PixAI creates content intended to improve the quality and presentation of a client’s digital presence. However, we do not guarantee specific business results, including sales, revenue, followers, engagement, leads, conversions, or platform performance.

15. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

16. Changes to These Terms

PixAI may update these Terms periodically. The version applicable to a project will generally be the version in effect when the project is booked unless otherwise agreed in writing.
